    director Minimum of two directors May waive the right to hold an AGM May only waive the right to hold an AGM if it has just one member Each existing private company limited by shares must decide which company type to convert to Choosing to become an LTD is considered opting in to the new regime if a company takes no action by the end of the transition period maximum 18 months it will become an LTD by default Companies are encouraged to make the switch as soon as possible however to avail of the full benefits of the new rules including simpler processes better governance sensible exemptions and new opportunities Reforms which will apply to LTD companies will include The elimination of the objects clause will simplify interactions with banks and lending institutions A company will no longer be required to establish that it has the legal power to borrow money for the purposes of the specific activity it wishes to carry out The new summary approval procedure will allow companies to carry out certain activities through a directors declaration and a shareholders resolution whereas the current law would require High Court approval Private companies will for the first time be able to engage in mergers and divisions The audit exemption will be extended to group companies and to dormant companies In addition fulfilling two of the three criteria less than 50 employees turnover less than 8 8 million balance sheet total less than 4 4 million will suffice to qualify as a small company for the purposes of audit exemption Directors duties will be laid out in law increasing transparency and accountability The new Companies Act will become a reality on 1 June 2015 an important date for companies across Ireland Make sure your business is ready for

  • Seven lessons for small Irish business from Irish boxing success
    if a new small business or start up is disciplined enough it can win unexpected market share On taking up the challenge the first thing Walsh did was to take the Irish team to Russia to see how the best did it Russia has long been the most successful boxing nation on earth In 2003 when the Irish team of our six top boxers went to the Russian training camp they were slaughtered tactically physically psychologically and emotionally The Irish boxers were out boxed out thought and knocked down by the Russians So much so that the Russians regarded the Irish as a bit of joke Walsh took the team home tore up their training schedule and copied what he saw in Russia He copied how they trained what they ate when they rested and he asked the boxers for total commitment The regime was so tough that in the first year he lost half the squad but those who stayed got fitter stronger more confident and then started to win medals Little wins led to bigger wins Winning breeds winning and in time the Irish boxers learnt to fear no one In the past an Irish boxer would fear being drawn against an existing European medal holder and the fight was lost in his head before he stepped into the ring but the little and then bigger wins meant this inferiority complex changed Why would you fear being drawn against a European medal holder when you were sparring with one every day By 2013 after success in the Beijing and London Olympics in the European Championship Ireland came second to Russia A true measure of success is that the team is now banned from training in Russia From having been a joke ten years ago and having been welcomed to observe what the Russians were doing the Irish team is now not allowed to train in Russia or Ukraine another boxing superpower on the explicit orders of the Russian Boxing Federation The Russians with a population of 145 million people and the Cubans who have the finest boxing pedigree in the world now regard the Irish team as a threat to them The high performance unit set about overturning conventional wisdom It took ideas and methods from the best and customised them to suit the Irish way of fighting Every boxing culture has a different set of challenges in the same way as every small business has its own way of doing things The Irish boxers changed their training schedule realising that it wasn t good enough to keep doing what they d been doing for years If the preparations were outmoded the performance would be second rate The trainers measured everything They didn t focus on winning but on performance Their view was that if they got the performance right the medals would come They set about measuring everything from heart rate to footwork punch rate number of combinations diet emotional stability and ultimately the boxers own belief
