  • Register a business name
to register names with Irish company type suffixes e g Limited Teoranta or Company The CRO doesn t check the desired name for any similarities with existing names Hence the name can be any name even if there is already a registered business with this name But this also means that there is no protection of the name as anyone can register any business name they want The type of form depends on the entity that wishes to register a business name After filing the form a signature page has to be sent to the CRO It takes about three weeks until the business registration is completed and the certificate will be issued By setting up a business via Irish Formations you don t have to worry about bureaucratic obstacles We sent you the required signature page on the same day of your application if application is made before afternoon and there are no hidden costs at all as our rate includes the CRO filing fee Click here if you want to get your business name registration started today and don t hesitate to contact us if you have any queries Share this Share Click to email this to a friend Opens in new window Click to print Opens in new window Share on Facebook Opens in new window Click to share on Twitter Opens in new window Click to share on Google Opens in new window Click to share on LinkedIn Opens in new window Posted in Business Names Tagged business start up Start a business Post navigation Tax Registration Changing Memorandum and Articles of Association Register a new company Now Find Out More Our Blog by Email Enter your email address to subscribe Mailing List Join our FREE Mailing List Privacy by SafeSubscribe SM Join Now Recent Posts Register a company in Ireland 18 03 2015 New Companies Legislation 13 03 2015 Non Resident Director Bond 11 03 2015 Company Formation with Limited Liability 13 02 2015 Deadlines to get a company formed in 2014 02 12 2014 Changing Memorandum and Articles of Association 20 11 2014 Register a business name 17 11 2014 Tax Registration 22 10 2014 Article Categories Business Incubation 1 Business Names 5 Business Tips Tricks 24 Customer Service 5 Events 2 FAQ s 19 Forming A Company In Ireland 3 Guest Blog 4 Legislation 19 Move a company to Ireland 5 Services 14 Starting a New Business 35 Uncategorized 4 Business News Eurozone readies for Greek default 27 06 2015 Greek minister No reason deal cannot be done 27 06 2015 Airbnb style listings surpass hotel rooms in Spain 26 06 2015 Tags Branding business ideas Business names business plan business start up Buy a company buy a company seal Change a business name Change a business name online Companies act 1963 to 2009 Companies Act 1963 to 2012 Companies house Company Compliance Company directors Company Formation Company Formations Company formations limited Company incorporation Company law Company name availability Company Registrar Company Registration

here Posted on 23 02 2012 by Mark Hegarty So you have chosen your company name only to discover that the Companies Registration Office will not accept it as it is already registered If only you knew this before We have the answer We have a live search tool on our website where you can search the availability of your name and it will immediately tell you if it is available or not We are delighted to announce a new facility on our website where anyone can search for the availability of a Limited Company name A Limited company name cannot be registered in Ireland if it is similar to another name There are some restrictions on your choice of company name The Company Registrations Office Ireland may have to refuse a name if it is identical to or too similar to a name already appearing on the register of companies it is offensive it would suggest state sponsorship The following guidelines will assist you in assessing the acceptability or otherwise of company names It is generally recommended that company names include extra words so as to create a sufficient distinction between names Certain words and their abbreviations together with accents and punctuation marks are not sufficient to distinguish between company names Examples of such words include the definite article and the words company co corporation and service services limited etc Place names are not considered to be a sufficient distinction between company names e g Ireland Dublin West etc Similar descriptive elements e g press printing staff employment agency or the inclusion of only a general or weak qualification such as holding group system services international etc may not be regarded as a sufficient distinction between company names Particular care should be taken with names considered to have a distinctive element i e names consisting primarily of made up words or non dictionary words The inclusion of qualifying words may not be sufficient to create a distinction between company names The use of a year in numerals to differentiate between two companies of otherwise the same name can also be refused Remember you can contact us if you need help with this process We invite you to try Posted on 20 10 2014 27 05 2015 by Mark Hegarty Register an Unlimited Company By Wiebke Wolter The most popular type of company formed in Ireland is a Private Limited Company with share capital to Register an unlimited company type is becoming more popular The percentage of Unlimited companies on the register up to the end of 2013 was 2 31 Almost 87 of other companies on the register had Limited Liability For a start this seems to be consequentially as forming an unlimited company means that there is no limit on the liability of the members in case of debt on insolvency Even after ceasing to be a member the unlimited liability continues for one year A pretended limitation of liability can be implemented on a second stage with limited companies as shareholders Pretended insofar as in case of insolvency of the unlimited company related companies like shareholding companies can be forced to contribute to the debts of the insolvent company Nevertheless up to 2013 4 324 businesses in Ireland decided to operate as an unlimited company Why is this Being an unlimited company means that under certain circumstances you enjoy a comfortable confidentiality relief when it comes to your financial statements That is unlimited companies are only in those cases obliged to file their accounts where all of the shareholders of the company are Companies limited by shares guarantee or Themselves unlimited companies that are governed by the law of the EU Member states After all this means that most of the unlimited companies in Ireland can keep the state of their financial affairs private as they don t have to file their accounts at the CRO when they file their annual return no audit exemptions anyway Third parties can t see any accounts at the CRO thereby getting no access to the company s cost structure e g earnings margins staff salaries Thus it is not surprising to find well known companies like Dunnes Stores and Jonssen Pharmaceuticals among the unlimited companies in Ireland In 2006 the Irish divisions of Apple decided to re register from a limited company to an unlimited company followed by LinkedIn Ireland in 2013 Registering an Unlimited company in Ireland though it is risky under circumstances of economic uncertainty gives you an advantage to your limited liability competitors as you can keep your financial affairs safe to a certain time can be a daunting prospect if you have not done it before If you have decided to set up a new business there are a number of considerations for you to think about Firstly will you set up the busness as a sole trader or as a company In the next two articles we will consider setting up your new business as a company There are a number of advantages in setting up as a company over sole trader or partnership The first is that it provides limited liability In a previous blog post we asked the question what is limited liability Currently with a limited company in Ireland the shares in the company are owned by its shareholders If the company is a limited liability company the shareholders liability should the company fail is limited to the amount if any remaining unpaid on the shares held by them A company is a separate legal entity and therefore is separate and distinct from those who run it Only the company can be sued for its obligations and can sue to enforce its rights This protection is important under many circumstances including situations where a business might be holding a large stock and the company is put under risk of over trading If you are setting up a business company you will have to have a few things prepared before you get started with an independant company formations agency like Irish Formations What will the limited company name be Choose carefully and the formations agency will guide you through the availability of the name Who will the Directors be You will need a minimum of 2 You need to submit names residential addresses and dates of birth and identification of the Directors Who will the company Secretary be This can be one of the company Directors Who will the shareholders be This can be one Person a number of people or a company in Ireland or abroad What will the company activity be This information will be used to generate the objects of the Memorandum of Association for the company for submission Once this information is gathered through our packages page we email our clients signature pages which they sign and post back to us when setting up a business company We use these to make the submission and than 70 of start up businesses fail within 5 years Of the 30 that get through the first 5 years 70 will fail within the next 5 years By contrast more than 70 of franchises are still trading 5 years on So what s the difference Franchises usually have a tried and tested business model and market tested products the McDonalds Big Mac is the same the world delivered in the same way regardless of location or local management So what can non franchised start ups learn from the success of the franchisee There are two significant issues to keep in mind Technical Competence v Management Competence External support External Perspective Technical Competence v Management Competence A high percentage of businesses are started by people who are highly skilled in a particular profession or have strong technical skills For example solicitors start law firms computer professionals start IT services firms hairdressers start hair salons software developers start software firms the list is endless The problem is that the technical skills are a necessary but insufficient set of skills to compete in the modern economy You need the following at least Business Development skills marketing sales Financial Management the boring stuff for many people Operational Technical skills good box ticked here People Management of yourself and your staff Strategy Clarity about what you are trying to do I suggest you take a look in the mirror and give yourself a straight answer to the question How do I rate under the 5 headings above then do something about any gaps you identify To run a McDonalds franchise you need to know how to flip burgers but lots more besides External Support External Perspective Eric Schmidt the CEO of Google said that everybody needs a coach A coach can things about you
